1. Who you are engaging

Synapse Legal Limited (the "firm") is a private company registered in England and Wales, providing legal services to startup clients. Throughout these terms, "Synapse", "we", and "us" mean Synapse Legal Limited.

2. What we do

Synapse delivers three categories of legal work:

  • Contract review - you upload a contract, our lawyers review it against your playbook (or our standard positions), and we send you a redlined version with explanation.
  • Light amendments - small redline scopes (under 20 pages) on existing contracts, delivered at a flat fee.
  • Drafted from scratch - bespoke contracts produced from your brief, scoped on a call where needed.

Every contract is reviewed and signed off by a qualified solicitor. AI assistance handles preparatory work (extraction, analysis, draft suggestions) and is always reviewed by the responsible lawyer before any output reaches you.

3. Pricing

Pricing is shown at the moment you upload or submit a contract. The current schedule is:

  • Express (NDAs, DPAs, similar) - £150 base for the first 10 pages, £10 per additional page.
  • Standard (all other review contracts) - £500 base for the first 20 pages, £10 per additional page.
  • Light amendment - £150 flat for under 20 pages.
  • Bespoke draft - starting from £1,500; final price confirmed before any work begins.

Each contract includes the first lawyer redline plus two free revision rounds. Additional revisions are quoted at a flat per-round fee that you see before committing. All prices exclude VAT, which is applied for UK clients.

4. Payment terms

  • When you accept a quote, your card is saved via Stripe SetupIntent - nothing is charged at that moment.
  • Your card is charged when we deliver the first redline (or first draft, for bespoke work).
  • If the saved-card charge fails for any reason, we send you a Stripe-hosted invoice you can pay with a different card.
  • Additional revisions beyond the included two are billed individually as you request them.
  • You can change your saved card at any time in your account settings.

5. Cancellation and refunds

  • You can cancel any in-progress contract before the first lawyer redline has been delivered, at no charge.
  • Once lawyer work has been delivered, the fee for that delivery is non- refundable.
  • We can decline to take on work that falls outside our scope (currently UK/EU governing law only) - in that case you are not charged and any authorisation is released.

6. Your responsibilities

  • You confirm you have the authority to engage Synapse on behalf of your company.
  • You upload only documents you have the right to share with us.
  • You answer reasonable scoping questions promptly. Bespoke drafts that stall for more than 30 days awaiting client input may be closed; the fee for any work already done remains payable.
  • You confirm "light amendment" submissions are genuinely small in scope. Files above the page cap are automatically re-quoted at our standard review rate.

7. Confidentiality and privilege

All work product and any information you share with Synapse in the course of an engagement is treated as confidential and is subject to legal professional privilege where applicable. See our Privacy Policy for full data-handling detail.

8. AI assistance

Synapse uses AI tools (Anthropic Claude) to accelerate preparatory work: document extraction, clause classification, suggested redlines, brief triage. AI output is never sent to you without review by a qualified lawyer. We do not share your data with AI providers for training purposes - our enterprise contract with Anthropic explicitly bars training use.

9. Liability

  • Our liability for any contract is limited to three times the fee paid for that specific contract, subject to professional indemnity insurance held by the firm.
  • We do not exclude or limit liability for fraud, fraudulent misrepresentation, or any liability that cannot be excluded under UK law (including death or personal injury caused by negligence, where applicable).
  • We are not liable for indirect, special, or consequential loss (loss of profit, business interruption, lost goodwill).
  • Where AI-generated material is sent to you, the responsible solicitor's review is the layer that creates legal accountability - the AI itself is a tool, not the advisor.

10. Governing law and disputes

These terms and any engagement with Synapse are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes arising from the engagement.

11. Regulatory information

Synapse Legal Limited is regulated by the Solicitors Regulation Authority (SRA). Complaints procedure and full regulatory details are set out in the Services Agreement PDF and on request.

12. Changes to these terms

We update these terms when our commercial practice changes. Material changes will be communicated to active account holders by email at least 14 days before they take effect.
